CJ Kalra — Century 21 Coastal Realty Ltd.

For the purpose of evaluation the business and property described above (hereinafter referred to as the "Business"), the undersigned has requested that CENTURY 21 Coastal Realty Ltd. (hereinafter referred to as Century 21 Coastal) provide to them confidential information relating to the business operations and to the property. In consideration of Century 21 Coastal agreeing to provide such information the undersigned agrees as follows:

1. Any information received or obtained will be held in strict confidence and used only to evaluate the Business for the purposes of negotiating a transfer of ownership to the undersigned. It shall not be used for any competitive opportunity or for any other purpose that may be detrimental to the Business.
2. The undersigned will not reproduce, disclose or make known any of the information received or obtained, nor disclose that the Business is available for acquisition, without the prior written consent of Century 21 Coastal.
3. Public disclosure of a possible sale of the Business could have a material adverse effect on the Business if for any reason a transaction is not consummated. Accordingly, the undersigned agrees that until a Contract of Purchase and Sale has been entered into and without the prior written consent of Century 21 Coastal in each instance, the undersigned: (a) will not contact any bank or credit union in the community within which the Business is located to discuss financing for a possible transaction, (b) will not contact the Business, Bank, Solicitor, Accountant, Employees, suppliers, clients, tenants or others, (c) will not discuss the Business with officials or staff of any municipal, provincial or federal agency or ministry.
4. In the event that it is determined that the undersigned is not interested in negotiating a transfer of ownership of the above Business, the undersigned agrees to promptly return all information to Century 21 Coastal and shall not retain copies or reproductions in whole or in part of the information.
5. The undersigned agree that all matters concerning the Business will be handled through Century 21 Coastal and that the undersigned will not approach or attempt to deal with the owners of the business either directly or indirectly.
6. The undersigned further understands and agrees that neither Century 21 Coastal nor agents make any representations or warranties as to the accuracy or completeness of the information provided.

Financial information on the above Business will be provided on return of a signed copy of this agreement to Century 21 Coastal.
